Before signing up for this service, we require a 50-minute paid consultation to determine if an entity is correct for you and the best choice of entity.

October 27, 2021 update: It's too late to commence our trader entity formation service to be effective for 2021. We require that the entity be operational and eligible for TTS for a minimum of Q4 2021. One quarter doesn't give you much time to maximize employee benefits (health and retirement). Focus on forming an entity for Q1 2022.

  • We can form a single-member LLC (SMLLC) in late November or December 2021, obtain the EIN so you can open the LLC trading account with the broker to be ready to trade on January 1, 2022. We can add your spouse to the LLC operating agreement for a partnership as of January 1, 2022, or we can file a 2022 S-Corp election by March 15, 2022. As an SMLLC "disregarded entity" in 2021, it won't have a tax filing for 2021. This strategy gives you tax benefits for all of 2022, but not 2021. 

Our entity formation price includes a 60-minute meeting with Robert A. Green, CPA, to form the business, and a 15-minute consultation with Adam W. Manning CPA approximately 30-days later to review execution and begin tax planning. It includes:

  • Finalize the entity plans and form an LLC or corporation using our BizFilings services (see below).
  • We go through formation and start-up tax issues, including ownership percentages with a spouse, profit-sharing allocations, initial capital contributions, and tax elections (S-Corp, Section 475 MTM securities, Section 988 forex).
  • We also cover employee-benefit plan deductions (retirement and health), payroll planning, tax strategies, including Section 195 start-up costs and Section 248 organization expenditures, banking needs, accounting solutions, S-Corp expense reimbursement (accountable) plans, and tax planning under the new tax law.

We design the right company around your tax needs (considering family, other work, and state issues) and execute it. Our outside attorney prepares and reviews the legal documents, as we are not a law firm. The entire process takes about a week if you choose the expedited service from bizfiings. It can take a week or more to get on Robert Green's calendar.

Our service is just what you need. Yes, you can form your trader entity at your state's Website or ask your local attorney to handle it (probably at a higher cost than our very competitive fee). But the most critical issue is not merely forming an entity — it's creating an adequately structured company to take advantage of all the complex and nuanced trader tax strategies that we customize for you. Our administration team will email you our engagement letter for secure online execution and set up your file in our secure file-sharing system SmartVault, which is how you will receive documents from us and our outside attorney.

With expedited state-filing service, the entire process takes about a week, as states take several days to issue the certificate of formation or incorporation. Several states offer a 24-hour or 48-hour rush service, and clients may consider that choice as well. Our outside attorney only takes one or two days to prepare the legal paperwork.
